Raphael (Raffi) is a corporate attorney with more than a decade of national-level experience advising public and private companies, private equity sponsors, and entrepreneurs on a wide range of complex business transactions. He represents clients across industries including retail, health care, technology, manufacturing, and home services.
Raffi regularly advises clients on the legal and strategic considerations of transactions, often serving as the primary point of contact from the initial letter of intent through closing. His practice focuses on mergers and acquisitions, private equity transactions, and joint ventures, as well as corporate governance and commercial finance matters. He has significant experience negotiating purchase agreements and drafting and negotiating complex commercial contracts, including joint venture agreements.
In addition to his transactional work, Raffi counsels clients on entity formation, operating agreements, stockholder arrangements, and other corporate matters. He represents clients in equity transactions and has advised on issues related to business succession and separation of founders. He also works closely with management teams and stakeholders to help structure transactions that align with clients’ strategic goals.
Prior to joining Cozen O’Connor, Raffi served as counsel at another Am Law 100 firm. Earlier in his career, he practiced at several national and international law firms, where he developed a broad foundation in corporate and transactional law. Before entering the legal profession, Raffi worked as a high school teacher, an experience that continues to inform his approach to client service by enabling him to translate complex legal concepts into practical, business-oriented guidance.
Raffi earned his B.A., summa cum laude, from Yeshiva University, his M.S. from Yeshiva's Azrieli Graduate School of Jewish Education & Administration, and his J.D. from Harvard Law School.
